1. Who you are contracting with
These terms are between you and Hoskins Travel LLC, a company operating in the State of Idaho, USA, which provides the roofing contractor CRM delivered as software-as-a-service under the trading name Gem State CRM ("we", "us", "our"). By creating an account or continuing to use the service you agree to these terms on behalf of yourself and, if applicable, the company you represent. You confirm you have authority to bind that company and are of legal age.

2. The service
Gem State CRM includes sales pipelines, insurance claim tracking, roof measurement ordering, proposals and e-signatures, production scheduling, photo and document storage, homeowner payment links, and field mapping. Your plan includes ten user seats; additional seats are billed per seat. We grant you a limited, non-exclusive, non-transferable right to use the service within your selected plan.
3. Acceptable use
You must not use the service to:
- break the law or facilitate unlawful activity;
- commit fraud, send spam, or misrepresent insurance or claim information;
- infringe anyone's intellectual property or privacy rights;
- interfere with security — no malware, probing, scraping, load testing, reverse engineering, resale or redistribution, or circumventing plan or seat limits.
You are responsible for keeping account credentials confidential, for all activity under your account, and for providing accurate account information.
4. Your content
You keep ownership of the job data, photos, documents, and homeowner information you put into the service. You grant us a limited license to host and process that content solely to provide and support the service.
5. Our intellectual property
We retain all rights in the service, including its software, design, documentation, and branding. Nothing in these terms transfers that ownership to you.
6. Service level
We work hard to keep the service available, but we do not guarantee uninterrupted or error-free performance. Measurement reports, mapping, and address lookups depend on third-party providers. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
7. Payments and subscriptions
Subscriptions renew automatically each month or year until cancelled. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. See our Refund Policy for the money-back window.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
8. Suspension and termination
We may suspend or terminate access for material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. When a subscription ends you keep access until the end of the period you already paid for, after which the workspace becomes read-only. You may export your data for 30 days after that, and we may delete it afterwards.
9. Liability
Our aggregate liability is limited to the fees you paid in the twelve months before the claim. We are not liable for indirect, consequential, or special damages, including lost profits, lost data, or lost goodwill. Nothing here limits liability for fraud, death, or personal injury where the law does not allow it.
You indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these terms.
10. General
These terms are governed by the laws of the State of Idaho, USA, and disputes are heard by the courts of Ada County, Idaho. You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond its reasonable control.
